Terms of Service and Independent Contractor Agreement

These Terms of Service ("Terms") form a legally binding agreement between you ("Affiliate," "Contractor," or "User") and PoolHall LLC, d/b/a Payday Social ("Company," "we," "us," or "our"). By creating an account, accessing, or using our affiliate platform at affiliates.payday.social (the "Platform"), you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you may not participate in the Program.

1. Engagement of Services

By joining the Payday Affiliate Program, you agree to promote one or more mobile apps, websites, or products ("Brands") listed on the Platform through your unique affiliate links or approved promotional methods ("Services").
You act as an independent contractor and not as an employee, agent, or partner of the Company or the Brands. You are solely responsible for how you promote links, subject to these Terms and any specific Campaign Terms posted on the Platform.
The Company functions as an intermediary, connecting Affiliates to Brands, tracking performance, and facilitating payments. The Company is not a party to your relationship with any Brand and assumes no responsibility for the accuracy of tracking data provided by third-party systems.

2. Compensation and Payment

2.1 Payment Structure

  • Affiliates will be compensated according to the Campaign Terms associated with each Brand — for example, Cost Per Install (CPI), Cost Per Signup (CPS), or Revenue Share.
  • Payouts are only made for verified, legitimate actions that meet the Brand's tracking and quality requirements.

2.2 Invalid or Fraudulent Activity

The following will result in forfeited payments and potential termination:
  • Fake or bot-generated traffic, installs, or signups
  • Self-referrals or incentivized installs not approved by the Brand
  • Traffic from prohibited geographies (e.g., non-U.S. installs when a campaign is U.S.-only)
  • Any manipulation of tracking data or misleading promotions
The Company and Brand retain sole discretion to determine the validity of conversions.

2.3 Payment Schedule

Payments are processed monthly after conversions are validated by the Brand. Payouts are typically made within 30 days following the close of each month.

2.4 Payment Methods

Approved payment methods include:
  • PayPal
  • Wise
  • Bill.com
  • Stripe
Affiliates are responsible for ensuring correct payment details are provided. The Company is not responsible for delays due to inaccurate information.

2.5 Taxes

You are solely responsible for all taxes owed on your earnings. The Company does not withhold or remit taxes on your behalf. U.S. Affiliates earning over the IRS threshold will receive a Form 1099-MISC.

3. Independent Contractor Status

You acknowledge that:
  • You operate as an independent contractor.
  • You are not entitled to employee benefits.
  • You are responsible for all business costs, including marketing, equipment, and internet usage.
  • You have no authority to bind or represent the Company or any Brand.

4. Use of Promotional Materials and Intellectual Property

4.1 Brand Assets

Brands may provide logos, text, videos, and other materials ("Assets") for you to use in your promotions. You agree:
  • To use Assets only for approved campaigns.
  • Not to alter, distort, or misuse Brand trademarks or materials.
  • To comply with all Brand and campaign-specific creative guidelines.

4.2 Content Ownership

Any promotional content you create remains your property; however, you grant the Company and the Brand a non-exclusive, royalty-free, worldwide license to use, repost, and distribute that content for promotional purposes.

4.3 Prohibited Use

You may not reuse any Brand-provided materials to promote unrelated offers or create misleading ads implying an endorsement by the Brand outside the affiliate program.

5. Referral Program

The Platform may include a referral system that rewards you for bringing in new affiliates. Eligibility and payout details will be posted on the Platform. Fraudulent or self-referrals are strictly prohibited and may result in forfeited bonuses or account termination.

6. Compliance and Advertising Standards

You must comply with:
  • FTC Endorsement Guidelines, including proper disclosure of paid partnerships (e.g., "#ad" or "#sponsored")
  • Applicable laws, regulations, and platform advertising policies (TikTok, Instagram, YouTube, etc.)
  • Campaign-specific compliance rules listed on the Platform
Failure to comply may result in account termination and nonpayment.

7. Non-Circumvention

You agree not to contact, negotiate with, or accept direct deals from any Brands or advertisers introduced through the Platform for 12 months after your last activity on the Platform. Any direct engagements outside the Platform will result in immediate account termination and liability for all associated losses, including forfeited earnings and damages for lost business.

8. Termination

8.1 Termination by Company

We may suspend or terminate your account at any time if you:
  • Engage in fraudulent or deceptive activity
  • Violate these Terms or Campaign Terms
  • Damage the reputation of the Company or its Brands

8.2 Termination by Affiliate

You may terminate your participation at any time by emailing affiliates@payday.social.

8.3 Effect of Termination

Upon termination, unpaid earnings related to invalid or disputed conversions may be withheld. You must immediately cease using all Brand materials and delete any links or assets associated with campaigns.

9. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and Brands from any claims, damages, or legal expenses arising out of:
  • Your breach of these Terms or Campaign Terms
  • Your violation of applicable laws or regulations
  • Misleading or non-compliant promotional activity

10. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from your use of the Platform or participation in the Program.

11. Dispute Resolution and Governing Law

All disputes shall be resolved through binding arbitration in Fulton County, Georgia, USA, under the rules of the American Arbitration Association. You waive any right to participate in class or collective actions. These Terms are governed by the laws of the State of Georgia.

12. Miscellaneous

12.1 Amendments

The Company may update these Terms at any time. Continued participation constitutes acceptance of the revised Terms.

12.2 Assignment

The Company may assign these Terms at its discretion. You may not assign your rights without written consent.

12.3 Severability

If any clause is held invalid, the remainder of these Terms will remain enforceable.

12.4 Notices

All communications must be sent to affiliates@payday.social.

12.5 Entire Agreement

These Terms constitute the entire agreement between you and the Company concerning the Affiliate Program.
